Terms of Service
1. Who we are and what these Terms do
1.1 ALT.VU is operated by ATLAS PAY LIMITED, a company incorporated in Hong Kong with Business Registration Number 79950367, whose registered office is at Unit 1603, 16/F, The L. Plaza, 367–375 Queen's Road Central, Sheung Wan, Hong Kong ("we", "us", "our", the "Company").
1.2 These Terms of Service (the "Terms") form a binding agreement between you and the Company. They govern your access to and use of the ALT.VU mobile application, the alt.vu website and every service we make available through them (together, the "Services").
1.3 By creating an ALT.VU account, you confirm that you have read these Terms, that you accept them, and that you accept the following documents, which form part of this agreement:
- the Privacy Policy at https://alt.vu/legal/privacy/
- the Fees and Limits schedule at https://alt.vu/legal/fees/
- the Risk Disclosure Statement at https://alt.vu/legal/risk/
- the Complaints Handling Policy at https://alt.vu/legal/complaints/
1.4 If you do not accept these Terms, do not create an account and do not use the Services.
1.5 We are not a bank. We do not take deposits, we do not lend, and we do not provide investment services. Nothing in the Services is an investment, a savings product or a deposit, and no interest, yield or return of any kind is paid on any balance.
2. Definitions
Account — your registered ALT.VU account. Balance — the United States dollar amount recorded to your Account under clause 6. Card — the virtual payment card described in clause 9. Card Issuer — our licensed card issuing partner, a payment institution licensed in Singapore, which issues the Card and operates the underlying card account. Internal Transfer — a transfer of Balance between two ALT.VU Accounts under clause 10. Supported Asset — a stablecoin we accept, currently USDT and USDC. Supported Network — a blockchain network we support, currently TRON, BNB Chain and Polygon. Not every Supported Asset is available on every Supported Network. USDC is not supported on TRON. The combinations we accept are shown in the application and in the Fees and Limits schedule, and only those combinations may be used. Deposit Address — a blockchain address we make available to you for receiving a Supported Asset. Business Day — a day other than Saturday, Sunday or a public holiday in Hong Kong.
3. Eligibility
3.1 You may use the Services only if you:
(a) are at least 18 years old; (b) act on your own behalf and not for any other person; (c) are resident in a country in which we make the Services available; and (d) are not a person subject to sanctions administered by the United Nations, the United States, the European Union, the United Kingdom or Hong Kong, and are not resident in, or acting on behalf of any person in, a sanctioned territory.
3.2 The Services are not directed at, and must not be used by, anyone under 18. We do not knowingly provide the Services to minors. If we learn that an Account belongs to a person under 18, we will close it.
3.3 You may hold one Account only. We may close duplicate Accounts.
3.4 The countries in which the Services are available change from time to time. Availability of the application in a given app store is not by itself an offer of the Services in your country, and we may decline to open or continue an Account on the basis of your country of residence.
4. Registration and identity verification
4.1 To open an Account you must provide an email address, verify it, and provide the personal information we request.
4.2 Before you can use the funded Services you must complete identity verification ("KYC"). Verification is carried out with the help of an identity verification provider acting on our instructions. It requires a photograph of an identity document and a live selfie check.
4.3 The live selfie check processes biometric data. We ask for your separate, explicit consent before that step. You may refuse, but without it we cannot verify your identity and cannot provide the funded Services. Details are in the Privacy Policy, section 5.
4.4 You must give us information that is true, current and complete, and you must tell us promptly if it changes. We may ask you at any time to confirm or update your information, or to explain the source of funds, and we may restrict the Account until you do.
4.5 We may refuse to open an Account, or refuse to complete verification, at our discretion and without giving reasons. This is not a statement about you; it reflects obligations we owe under anti-money-laundering and sanctions rules, which sometimes prevent us from explaining a decision.
4.6 You are responsible for keeping your credentials, PIN and device secure. Do not share them. Any instruction given through your authenticated session is treated as given by you, unless you have told us that your Account is compromised and we had a reasonable opportunity to act.
5. What the Services are
5.1 The Services allow you to:
(a) receive Supported Assets on a Supported Network to a Deposit Address and have the corresponding amount recorded to your Balance; (b) send Supported Assets from your Balance to a blockchain address you specify; (c) hold a Balance denominated in United States dollars; (d) obtain and use a Card; and (e) make Internal Transfers to other ALT.VU users.
5.2 The Services do not include exchanging one cryptocurrency for another, trading, brokerage, custody of cryptocurrency as an investment, lending, staking or any yield-bearing product.
5.3 We may add, change, suspend or withdraw any part of the Services, any Supported Asset and any Supported Network. Where a change materially reduces what you receive, we will give notice under clause 20.
6. Your Balance — what it is and what it is not
6.1 Your Balance is a record of the amount we owe you in United States dollars. It is a claim against the Company and nothing else.
6.2 Your Balance:
(a) is not a bank deposit; (b) is not protected by any deposit protection or investor compensation scheme in Hong Kong, Singapore or anywhere else; (c) does not earn interest, yield or any return; and (d) is not electronic money issued to you by the Card Issuer.
6.3 Funds corresponding to Balances are held by us in an account maintained with the Card Issuer. They are not segregated in a statutory client-money account and are not held on trust for you unless we state otherwise in writing.
6.4 If the Company becomes insolvent, your claim is an unsecured claim against the Company and you may not recover all or any of your Balance. This risk is explained in the Risk Disclosure Statement.
6.5 We record your Balance in our books. Our records are conclusive evidence of your Balance unless you show a manifest error.
7. Receiving Supported Assets (deposits)
7.1 We will make a Deposit Address available to you for each Supported Asset and Supported Network combination we offer.
7.2 Send only the Supported Asset, and only on the Supported Network shown for that address. If you send any other asset, or the right asset on a different network, or use an address after we have told you it is no longer valid, the funds will in most cases be permanently lost. We cannot recover them. We have no obligation to attempt recovery, and we do not compensate you.
7.3 A deposit is credited after the number of network confirmations we require. Confirmation times depend on the network and are outside our control.
7.4 We credit your Balance at 1 : 1 against the Supported Asset received — one unit of the Supported Asset produces one United States dollar of Balance — less any fee shown in the Fees and Limits schedule. The network charges its own fee to the sender; we do not receive it.
7.5 Where we display a rate before you confirm an operation, that rate is held for 15 minutes. If you do not confirm within that period, the rate may change.
7.6 Minimum deposit amounts apply and differ by network. They are in the Fees and Limits schedule. Amounts below the minimum may be unrecoverable.
7.7 We may delay or refuse to credit a deposit where we are required to investigate it, where the funds appear to originate from an address associated with unlawful activity, or where crediting it would breach sanctions rules.
8. Sending Supported Assets (withdrawals)
8.1 You may instruct us to send Supported Assets from your Balance to a blockchain address you provide.
8.2 You are solely responsible for the destination address and the network you select. We execute your instruction as given. A blockchain transaction cannot be reversed, recalled or cancelled once broadcast. If you give a wrong address, or select the wrong network, or send to an address that does not support the asset, the funds are permanently lost and we cannot recover them or reimburse you.
8.3 We ask you to confirm the address and network before we execute. That confirmation step is a safeguard, not a guarantee, and does not transfer your responsibility to us.
8.4 The network fee for a withdrawal is charged in addition to the amount you send and is debited from your Balance. The network sets it; it varies with network conditions.
8.5 Minimum withdrawal amounts apply and differ by network.
8.6 We may delay, refuse or reverse a withdrawal instruction where we are required to investigate it, where we suspect fraud or unauthorised access, where it would breach sanctions rules, or where your Balance is subject to a freeze under clause 13.
9. The Card
9.1 The Card is a virtual United States dollar payment card. There is no physical card.
9.2 The Card is issued by the Card Issuer, not by us. The Card Issuer authorises transactions, operates 3-D Secure and provides tokenisation. Your use of the Card is also subject to the Card Issuer's own cardholder terms and to the rules of the payment scheme, and in the event of a conflict about a card transaction those terms and rules prevail over these Terms.
9.3 Card issuance costs a one-off fee. Each card transaction carries a service fee calculated on the amount settled by the Card Issuer. Both are in the Fees and Limits schedule.
9.4 The amount finally debited may differ from the amount shown at the point of sale. This happens because a merchant may place an authorisation hold for a different amount, because the merchant settles later at a different amount, because the transaction is in a currency other than United States dollars and is converted by the payment scheme at its rate on the settlement date, or because the merchant adds a surcharge. Differences of this kind are not errors and we do not compensate for them.
9.5 An authorisation hold reduces your available Balance before settlement. If a hold is not settled, it is released after the period set by the payment scheme.
9.6 Some merchants and merchant categories are blocked by us, by the Card Issuer or by the payment scheme. We do not undertake that the Card will be accepted anywhere in particular.
9.7 We may suspend or cancel the Card, or ask the Card Issuer to do so, on the grounds set out in clause 13.
10. Internal Transfers
10.1 You may transfer Balance to another ALT.VU user. The transfer is a movement in our records, not a blockchain transaction.
10.2 Internal Transfers are immediate and irreversible. Check the recipient before you confirm. We will not reverse an Internal Transfer because you sent it to the wrong person, and we cannot compel the recipient to return it.
10.3 We may refuse an Internal Transfer on the grounds set out in clause 13.
11. Fees
11.1 Our fees are set out in the Fees and Limits schedule at https://alt.vu/legal/fees/ and are also shown in the application before you confirm an operation, on the "Terms and fees" screen.
11.2 Fees are not listed in these Terms because they change. The version of the schedule in force at the time of an operation applies to it.
11.3 We will give notice of an increase in our fees under clause 20. Network fees are set by the relevant blockchain network, are not our charges, and change without notice.
11.4 Third parties may charge you separately — a merchant surcharge, a currency conversion charge applied by the payment scheme, or a fee charged by the sender's own wallet provider. We do not control or receive those charges.
12. Prohibited use
12.1 You must not use the Services:
(a) for any unlawful purpose, or to facilitate one; (b) to launder money, to finance terrorism or proliferation, or to evade sanctions; (c) on behalf of another person, or to allow another person to use your Account; (d) to give us false, incomplete or misleading information, or a document that is not genuine; (e) in connection with unlicensed gambling, the sale of controlled drugs, weapons, child sexual abuse material, human trafficking, counterfeit goods, or stolen credentials or data; (f) to fund or receive funds from an address associated with a darknet market, a mixer or tumbler used to obscure origin, a ransomware payment, or a sanctioned person; (g) to conduct transactions unrelated to your own personal purposes, including operating a payment or exchange business through your Account; (h) to circumvent a country restriction, including by misrepresenting your residence or by using a virtual private network or similar tool to conceal your location; (i) to abuse, harass or threaten our staff; or (j) to attack, probe, reverse-engineer, scrape or overload the Services, or to circumvent any security measure or integrity check.
12.2 Breach of this clause entitles us to act under clause 13 immediately and without notice.
13. Suspension, freezing and closure
13.1 We may suspend your access to the Services, freeze all or part of your Balance, block the Card, or close your Account, where:
(a) we are required to do so by law, by a court or regulatory order, or by sanctions rules; (b) we reasonably suspect a breach of clause 12, fraud, or unauthorised access; (c) you have not completed verification, or have not responded to a request under clause 4.4; (d) we reasonably suspect the Account is being used by, or for the benefit of, someone else; (e) the Card Issuer or a payment scheme requires it; or (f) you have not used the Account for 24 consecutive months.
13.2 Where the law permits, we will tell you that we have acted and, where we can, why. In some cases we are prohibited from telling you, and we will not.
13.3 A freeze lasts as long as the reason for it. We will lift it as soon as the reason ends.
13.4 Closure at your request. You may close your Account at any time. Withdraw your Balance first; see clause 13.6.
13.5 Closure by us. We may close your Account on 30 days' notice without giving reasons, and immediately where clause 13.1(a), (b), (d) or (e) applies.
13.6 On closure, you must withdraw your Balance to a blockchain address you control. If you do not do so within 90 days of closure, and we are not prevented from paying you, we will hold the amount for you and pay it on request, subject to verification and to any deduction we are required or entitled to make. Where we are prohibited by law from returning funds, we will not return them.
13.7 A Balance too small to withdraw. Where you close your Account yourself in the application and your Balance is below the minimum withdrawal for every Supported Network, it cannot be sent anywhere. In that case the application shows you the exact amount and asks you to confirm that it will be forfeited. We write off that amount only against your confirmation of that figure, and if the Balance changes before you confirm, the closure stops and you are shown the new figure. On confirmation your claim to that amount ends. We do this so that a remainder too small to move does not leave you unable to close your Account.
13.8 Closure does not end obligations that by their nature survive it, including clauses 6, 16, 17, 18, 23 and 24.
14. Refunds, disputed transactions and chargebacks
14.1 Merchant refunds. A refund from a merchant is credited when the Card Issuer receives it. Timing is set by the merchant and the payment scheme, not by us. We cannot make a merchant refund you.
14.2 Refund to a closed Card. If a merchant refunds a transaction after the Card has been closed, we will credit the amount to your Balance where the Card Issuer passes it to us. If your Account is also closed, contact us and we will return the amount to you, subject to verification.
14.3 Disputed card transactions. If you believe a card transaction was not authorised by you, or was not carried out correctly, tell us as soon as possible and in any event within 60 days of the transaction appearing in your history. We will raise the matter with the Card Issuer. Chargeback rights, time limits and outcomes are determined by the payment scheme, not by us, and we do not guarantee a result.
14.4 We may re-debit your Balance where a chargeback we have credited is subsequently reversed in the merchant's favour.
14.5 Crypto operations cannot be disputed. A completed blockchain transaction is final. Clause 14.3 does not apply to deposits or withdrawals of Supported Assets, or to Internal Transfers.
14.6 If we credit your Account in error, we may correct the error and recover the amount from your Balance without notice, and you must not spend an amount you know, or ought reasonably to know, is not yours.
15. Availability
15.1 We try to keep the Services available, but we do not promise that they will be available without interruption or free of defects.
15.2 The Services depend on third parties — the Card Issuer, payment schemes, blockchain networks, identity verification, messaging and hosting providers. Their failure or suspension interrupts ours.
15.3 We may suspend the Services for maintenance, security or regulatory reasons. Where the suspension is planned, we will give what notice we reasonably can.
16. Intellectual property
16.1 The Services, the ALT.VU name and logo, the application and the website, and all content in them other than your own, belong to us or to our licensors.
16.2 You may use the Services for your own personal purposes. You may not copy, modify, distribute, sell, licence, reverse-engineer or create derivative works from any part of them, except where the law says you may despite this clause.
17. Our liability
17.1 Nothing in these Terms limits liability that cannot be limited under the law that applies, including liability for death or personal injury caused by negligence and liability for fraud or fraudulent misrepresentation.
17.2 Subject to clause 17.1, we are not liable for:
(a) loss of a Supported Asset resulting from an incorrect address, an incorrect network, an unsupported asset, or a transaction you authorised; (b) an Internal Transfer sent to the wrong recipient; (c) an act, omission, insolvency, outage or decision of the Card Issuer, a payment scheme, a merchant, a blockchain network or its validators, or any other third party; (d) a change in the value, liquidity or redeemability of a Supported Asset, including a stablecoin ceasing to hold its peg; (e) a blockchain reorganisation, fork, halt, congestion, or the failure of a transaction to confirm; (f) a merchant's refusal to accept the Card; (g) unauthorised access resulting from your failure to keep credentials, PIN or device secure; (h) any indirect or consequential loss; or (i) loss of profit, loss of business, loss of goodwill, loss of opportunity or loss of data, whether direct or indirect.
17.3 Subject to clause 17.1, our total liability to you for all claims arising in any period of 12 consecutive months is limited to the greater of (a) the total fees you paid us in that period and (b) USD 500.
17.4 You must bring any claim within 12 months of the date on which you first became aware, or ought reasonably to have become aware, of the matter giving rise to it.
18. Your responsibility to us
You will compensate us for any loss, cost, claim or penalty we suffer because you broke these Terms, used the Services unlawfully, or gave us information that was false or misleading. This does not apply to the extent the loss was caused by our own breach.
19. Matters outside our control
We are not liable for any failure or delay caused by an event beyond our reasonable control, including an act of government or regulator, a change in law, a sanctions designation, war, civil unrest, natural disaster, epidemic, failure of a telecommunications or power network, failure or outage of a blockchain network, failure or insolvency of the Card Issuer or a payment scheme, or a cyber attack not caused by our failure to maintain reasonable security.
20. Changes to these Terms
20.1 We may change these Terms.
20.2 Where a change is to your disadvantage, we will give you at least 30 days' notice by email and in the application before it takes effect. Any other change, including a correction, a clarification, or a change required by law or by the Card Issuer, may take effect immediately.
20.3 If you do not accept a change, close your Account before it takes effect. Continuing to use the Services after that date means you accept the change.
21. Communications
21.1 We communicate with you in English, by email, by push notification and inside the application. You consent to receiving contractual documents, notices and statements electronically rather than on paper.
21.2 Keep a valid email address on your Account. A notice we send to the address on your Account is treated as received.
21.3 You can contact us through the support channel in the application, or at legal@alt.vu for matters concerning these Terms.
22. Complaints
If you are unhappy with the Services, tell us. Our Complaints Handling Policy at https://alt.vu/legal/complaints/ explains how to complain, what we will do and how long it will take.
23. Governing law and dispute resolution
23.1 These Terms and any dispute arising out of or in connection with them, including any non-contractual dispute, are governed by the law of the Hong Kong Special Administrative Region.
23.2 Any dispute arising out of or in connection with these Terms, including any question about their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
23.3 The seat of the arbitration is Hong Kong. The tribunal is one arbitrator. The language of the arbitration is English.
23.4 Before commencing arbitration, you agree to raise the matter with us under clause 22 and to allow us 30 days to resolve it.
23.5 Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
23.6 If you are a consumer, a mandatory rule of the law of your country of residence may give you a right to bring proceedings elsewhere or to rely on a protection you cannot lose by agreement. This clause does not remove that right.
24. General
24.1 Assignment. We may transfer our rights and obligations under these Terms to another company, including in a reorganisation or sale of the business, provided your rights are not reduced. You may not transfer yours.
24.2 Severability. If a court or tribunal finds part of these Terms unenforceable, the rest continues in force.
24.3 No waiver. If we do not enforce a right immediately, we do not lose it.
24.4 Entire agreement. These Terms and the documents listed in clause 1.3 are the whole agreement between us about the Services, and replace anything said or written before.
24.5 No third party rights. Except for the Card Issuer, which may rely on clauses 9 and 17.2(c), nobody other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) or otherwise.
24.6 Language. These Terms are written in English. English is the only authoritative version. Any translation is provided for convenience only, and in the event of a difference the English text prevails, except where the law of your country of residence requires otherwise.
